Our governance framework defines how Jotun is directed, managed and controlled to ensure sound decision-making and responsible operations. From the top and down to every employee, we are guided by principles of openness, transparency and accountability.

Corporate governance defines how Jotun is directed, managed and controlled to meet stakeholder needs. It is based on our four corporate values of loyalty, care, respect and boldness and the principles of openness, transparency and accountability.
Our commitment to sustainability is reflected across all levels of the organisation. It provides a clear strategic and operational framework that influences the way we conduct our business.
Governance bodies
Jotun’s values, Business Principles and sustainability commitment begin through the anchoring, direction and drive of the Board of Directors of Jotun A/S, the ultimate parent of the Jotun Group of companies.
There is a continuous and open dialogue with the Board of Directors to develop the areas of commitment. These areas are further supported through our governing bodies, documents and follow-ups at a corporate, regional and divisional level.
The hierarchy of governance bodies is: Board of Directors, Jotun Group management, regional and local management with the support of staff functions on all levels.
Policies and programmes
All Group policies and guidelines derive from our corporate values, Business Principles and sustainability commitments. Local policies derive from the Group policies, providing a hierarchy of steering documents. These documents are accessible to all employees within the framework of the Jotun Management System.
Our extensive compliance programme ensures the effective handling of issues within our companies. The Group companies are responsible for operational compliance, while support functions provide the companies with necessary materials and guidance.
Every Jotun company reports on its HSEQ performance, with reports regularly reviewed by their respective Board. Once a year, the Board of Directors of Jotun A/S are updated on compliance status, including whistleblowing cases.
Reporting, audits and reviews
Operational activities are followed up through a combination of structured self-reporting, internal control, audits and reviews.
Certifications
A number of our companies are certificated according to the following standards: Quality Management (ISO 9001), Environmental Management (ISO 14001) and Occupational Health and Safety (ISO 45001).
